These Terms of Service (“Terms”) govern your access to and use of the MatchHuman AI Skills Assessment Platform (the “Service”), operated by MatchHuman, Inc., a West Virginia corporation (“MatchHuman,” “we,” “us,” or “our”). By accessing, registering for, or using the Service (including any beta or pre-launch access), you agree to these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity.

The Service

The Service is a pre-launch AI-powered platform that enables companies and L&D teams to assess skills through a three-question method (self-assessment, situational judgment, and open-ended response evaluated by AI), generate individual reports, provide AI coaching recommendations, and access aggregated, anonymized benchmarking by job role and function. The Service is provided “as is” and is not intended for use in hiring decisions, employment actions, or any high-stakes assessments.

Eligibility & Accounts

You must be at least 18 years old and authorized by your organization to use the Service for B2B purposes. You agree to provide accurate information during registration. We may suspend or terminate accounts for violations, including misuse.

Acceptable Use

You may not: (a) use the Service for hiring, discrimination, or employment decisions; (b) reverse-engineer, copy, or attempt to derive the AI models; (c) submit false data or spam; (d) violate laws or third-party rights; or (e) overburden the Service. Violations may result in immediate termination.

Intellectual Property

The Service, including AI models, reports, and content (except your submitted data), is owned by MatchHuman or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service during your access period for internal business purposes. You retain ownership of your submitted data (e.g., assessment responses), but grant us a license to use it as described in the Privacy Policy (e.g., to provide the Service, aggregate anonymously for benchmarking, improve the platform without training on identifiable user data).

Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY OF AI OUTPUTS, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. AI-GENERATED COACHING OR REPORTS ARE NOT PROFESSIONAL ADVICE AND MAY CONTAIN ERRORS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATCHHUMAN SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID (IF ANY) IN THE 12 MONTHS PRIOR TO THE CLAIM (OR $100 IF NO PAYMENT).

Termination

We may terminate or suspend your access immediately for any violation of these Terms, misuse, or at our discretion. You may stop using the Service at any time.

Changes to Terms

We may update these Terms. Continued use constitutes acceptance. Material changes will be notified via email or in-Service notice.

Governing Law & Disputes

These Terms are governed by the laws of the State of West Virginia, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in West Virginia.

Miscellaneous

If any provision is invalid, the remainder remains in effect. No waiver of any breach constitutes a waiver of subsequent breaches.
